General Terms and Conditions

1. Purpose

This document sets out the general contracting terms and conditions (hereinafter, the "Terms and Conditions") governing the access to and use of mobile applications and related digital services operated by TINY CIRCUIT (hereinafter, the "Apps"). Through these Apps, users (hereinafter, as applicable, the "User" or "Users") may access downloadable games or content made available by third parties and may be eligible to receive rewards (e.g., cash, gift cards, or charitable donations) (hereinafter, the "Rewards") based on their engagement with certain objectives, tasks, or activities defined within the Apps and within the timeframes established by TINY CIRCUIT (the "Objectives").

THERE IS NO COST TO PLAY THE GAMES THAT ARE AVAILABLE IN THE APP. THE USER'S ABILITY TO EARN OR ACQUIRE REWARDS IS SOLELY BASED ON THE USER'S INTERACTION WITH THE GAMES ON THE APP.

Any matter not expressly set forth in these Terms and Conditions shall be deemed to be reserved to TINY CIRCUIT, without prejudice to the application of the provisions of the applicable regulations. Also, TINY CIRCUIT reserves the right to carry out modifications and/or updates in the present Terms and Conditions, which will be previously informed to the User for acceptance or rejection in case of being substantial and as otherwise required by applicable law from time to time. Updates corresponding to the operation of the App, as well as minor modifications and/or updates that only insignificantly change the balance of performance and counter-performance of the contracting parties can be carried out without prior notice, except as otherwise required by applicable law from time to time.

When using the App, the User agrees to these Terms and Conditions. If the User does not agree to these Terms and Conditions, then the User must not use the App. In this sense, the User acknowledges that they are a person with sufficient capacity to acquire the obligations derived from their actions through the App, which they have previously read and understood its content.

In any case, in order to contract with TINY CIRCUIT, the User must be of legal age (≥ eighteen (18) years). TINY CIRCUIT may request reasonable and justifiable information to verify the identity of the User and his/her age.

3. Conditions of Use

The User shall be exclusively responsible for accessing and browsing or using the App for illegitimate and/or illicit purposes. By way of illustration but not limited to, it is forbidden:

• to use the App for the purpose of causing damages, inefficiencies, interruptions or similar defects in the functionality of the App or electronic structures of TINY CIRCUIT or any third party;
• to use the App for the transmission of malware, viruses or similar programs or to publish or disseminate content of an offensive, terrorist, racist, denigrating or pornographic nature that could cause annoyance to people;
• to violate TINY CIRCUIT's intellectual and industrial property rights on the App;
• to use the App to the detriment of TINY CIRCUIT's interests and reputation;
• to utilize bots or any type of software or hardware to gain Rewards, including any software that allows the User to falsify data relating to their input, or that allows the User to appear to be watching the Ads when in reality they are not, or otherwise rely on unfair tactics to gain Rewards;
• to use a false identity, or ID which does not belong to the User;
• to violate the security measures established by TINY CIRCUIT;
• to carry out actions tending to collapse the App, damaging the good functioning of the App; and in any case
• to use the App illegally or against the provisions of these Terms and Conditions.

If TINY CIRCUIT encounters any of the cases mentioned in the previous paragraph, TINY CIRCUIT reserves the right to adopt the measures it deems appropriate, including the right to nullify all Rewards earned by the Users that have infringed the preceding limitations, to disable the redemption of Rewards by said Users, regardless of any justification provided, and to ban any User from using the App without a prior notification.

4. Warranties and Representations

TINY CIRCUIT will make its best efforts to warrant the accuracy, usefulness, or veracity of absolutely all the information on the App, or the usefulness or veracity of the contents made available to Users through it. However, Users are informed that TINY CIRCUIT cannot guarantee that the App will work correctly all the time or that it will be completely free of errors or bugs.

Therefore, TINY CIRCUIT does not warrant or guarantee nor is responsible, to the extent permitted by applicable law, for:

• the continuity of the contents of its App;
• the absence of mistakes in said contents;
• the availability of the games offered through the App;
• the absence of viruses, Trojans, worms, logic bombs and/or other malicious or technologically harmful components on the App or on the server that supplies it;
• the invulnerability of the App and/or the impossibility of violating the security measures adopted therein;
• the lack of usefulness or performance of the contents of the App;
• failures of the App caused by any type of attack on its servers or those of third party service providers of the App, as well as technical or system security failures of any of these providers hindering the functioning of the App;
• any technical failure of any kind that hinders, delays or prevents the proper functioning of the App;
• the damages inflicted, to itself or to a third party, any person who infringes the conditions, rules and instructions that TINY CIRCUIT establishes in the App, including these Terms and Conditions, or through the violation of the security systems;
• the continuity of any software provided by a third-party;
• the availability of a redemption method which requires a third-party to provide a good or service;
• the content downloaded through the App;
• the Rewards redeemed through the App.

Some jurisdictions do not permit the waiver of some of these warranties and so such waivers may not apply to the User. If the User is dissatisfied with the App his sole remedy is to discontinue the use of the App unless otherwise provided for by the applicable law.

TINY CIRCUIT declares that it has taken all necessary measures, within its capabilities and the state of the art, to ensure the functioning of the App and minimize system errors, both from the technical point of view and the content published on the App.

5. Contracting Procedure

5.1. How to use the App

TINY CIRCUIT is an online digital service provider that offers Users access to a variety of games and interactive experiences which, when used in conjunction with the display of advertisements or other engagement mechanisms, may enable Users to earn rewards ("Rewards"). The Services may be made available through one or more mobile applications operated by TINY CIRCUIT, which may be accessible on supported devices and operating systems.

Rewards earned through the Services may only be redeemed within the applicable TINY CIRCUIT application or platform, and solely through the redemption methods made available therein ("Redemptions").

Users are not required to pay any fee to download or access the Services. Upon accessing the Services, the User will be assigned an ID, which will be used to track participation and the earning of Rewards. TINY CIRCUIT shall rely on the information associated with the ID as being true and accurate.

Rewards are earned on a per ID basis. If a User creates or uses more than the permitted number of accounts, TINY CIRCUIT reserves the right to suspend or delete such accounts, and any associated Rewards may be forfeited.

Under no circumstances will TINY CIRCUIT be responsible for the veracity of the Tiny Circuit ID provided by Users, so each of them will be responsible for the possible consequences, errors, and failures that may subsequently result from the lack of data quality of any information contained in the Tiny Circuit ID. Likewise, the User shall be liable for any false or inaccurate information provided through the App and for any damages, direct or indirect, that this may cause to TINY CIRCUIT or third parties, as well as for any possible civil or criminal liability that may arise from the activity of users on the App.

The acceptance of the Terms and Conditions between TINY CIRCUIT and the User is understood to have been concluded from the moment the User accesses the App and uses it to play the games that are available in the App, being understood that the monitoring of all the phases of the electronic contracting procedure and the inclusion of all the data requested, together with the click of the corresponding box relating to the acceptance of these Terms and Conditions, is a direct manifestation of the User's willingness to accept these Terms and Conditions.

TINY CIRCUIT may deny the User access to the App and/or to the Services and functionalities offered through it if the User does not comply with the present Terms and Conditions and the applicable regulations and/or if they make inappropriate use of the App and/or the Services and/or the functionalities offered through it.

It is against the present Terms and Conditions to use a VPN, proxy or any other means to obscure the true origin of traffic when using the Services. The User is not allowed to use any other electronic means such as an internet bot or web robot ("Bot") which could artificially inflate User's activity and/or revenues when using the service. Any User that uses a VPN, proxy or Bot will be considered fraudulent and punishable by blocking through appropriate means. The use of a VPN, proxy or Bot can cause device used to be permanently blacklisted and account to be either suspended or terminated, forfeiting any earned Rewards.

5.2. App Access and Usage

When the User accesses and uses the App, the User accepts and undertakes to fully comply with these Terms and Conditions, as well as with the instructions or recommendations that are indicated in each specific case through the App.

In order to complete any Objectives and gain Rewards, it will be necessary for the User to use the App by means of playing the games that are disposed therein.

When the User provides personal data through any process made available on the App, the User must first read and, where appropriate, acknowledge to have read or accept the Privacy Policy. The User may contact TINY CIRCUIT regarding the processing of his/her data by sending an email to the following address [email protected].

The created account will have unlimited temporary validity, unless otherwise revoked by TINY CIRCUIT, and the User undertakes to make diligent use of it, keeping it for the User and not transmitting it to or sharing login credentials with any third party. Consequently, the User is responsible for the adequate custody and confidentiality of any identifiers that have been selected, and undertakes not to cede their use to third parties, whether temporary or permanent, nor to allow their access to third parties. The User is solely responsible for all conduct, activities, and communications using the User's account or Tiny Circuit ID whether by the User, the User's authorization or any unauthorized person.

In case the User knows or suspects that their account is being used by unauthorized third parties, the User shall modify access to the account immediately and communicate this circumstance to TINY CIRCUIT through the following e-mail address [email protected]. As long as such events are not communicated, TINY CIRCUIT will be exempted from any responsibility derived from the improper use of accounts or identified by third parties.

6. Service Process

The User may access the game catalogue provided in the App, and download the games to their hardware devices in order to begin the completion of Objectives and earn Rewards.

6.1. Rewards and Donations

TINY CIRCUIT provides Rewards for highly engaged users. These Rewards are given to the User in exchange for playing the App's games through virtual credits called "COINS" within the TINY CIRCUIT App. These Rewards are cash or gift cards or, alternatively, the User can reject them for donations to charity.

Rewards may be used to purchase gift cards, or otherwise used to obtain certain services or products, in countries where applicable merchants and services are available. The availability of Rewards is subject to applicable conditions. TINY CIRCUIT does not guarantee their availability or use.

TINY CIRCUIT is not responsible for any lost, stolen, or malfunctioning Redemptions except when caused by gross negligence or willful misconduct of TINY CIRCUIT, to the extent permitted by applicable law.

TINY CIRCUIT is not responsible for the procedures that may apply to the obtaining and/or redemption of Rewards (declarations, taxes, etc.). Consequently, the User is expressly prohibited from using the App in a professional or commercial context.

In no event shall the redemption of Rewards be considered as a salary or commercial gain.

The User acknowledges and agrees that the Rewards obtained may be subject to tax in the United States, Spain or in the jurisdiction of residence. Moreover, the User acknowledges that TINY CIRCUIT does not have the ability to determine whether or not the Rewards are considered reportable income or taxable earnings in Spain, in the United States or in the jurisdiction of residence of the User. The User shall be fully responsible for any tax declaration required by applicable laws in association with the redemption of Rewards. TINY CIRCUIT encourages the User, under its responsibility, to seek the advice of a tax expert in order to assess and determine the specific tax consequences of the Rewards redeemed by the User.

6.2. Reward Obtention

Upon completion of activities, Objectives, levels or the time established by TINY CIRCUIT playing the Games, the User will receive a notification indicating the Rewards obtained.

The User's ability to obtain Rewards is not determined by how the User performs in any Game on the App. TINY CIRCUIT will inform the User in advance of what steps the User will need to take to obtain Rewards. For instance, some Rewards are earned when the User interacts with one or more Games for a period of time. TINY CIRCUIT has sole discretion in determining what steps the User will need to take to obtain a Reward.

Additionally, TINY CIRCUIT may provide Rewards at its sole discretion through the implementation of different promotions such as "Welcome Bonus", "Daily-access Bonus" or "Returning Player-Bonus", amongst others. Users may, but are not required to, be entitled to a bonus of a varying amount of Rewards. The amount may vary based on a range of factors including, but not limited to, the geographic location of the User. In all cases, the provision of Rewards through these methods shall be exclusively decided at the discretion of TINY CIRCUIT, which shall also be entitled to retract such Rewards from the User for valid reasons.

6.3. Rewards Claims Process

The User must go through the claims process in order to receive the underlying promotional good associated with the Reward. Certain Rewards, such as Coins, may have a unique claims process as further described below.

The claims process requires the following steps:

When claiming a Reward through the App, a facial verification of the User may be required, using a third-party face verification technology for this purpose. The use of this information shall exclusively be undertaken for the purpose of fraud prevention and to ensure that Rewards are not earned through bots or other computer programs, automated processes or fraudulent use of software. The use of the User's facial identification shall exclusively attend to fraud prevention measures.

Upon redeeming a Reward from the App, the User will be prompted to provide a picture or video using the appropriate means, such as the video camera integrated in the User's hardware device of choice. This visual content provides TINY CIRCUIT with a face map (a mathematical representation of the User's facial characteristics generated through a third-party provider, FaceTec). This visual content shall be encrypted on the User's hardware device before being sent to TINY CIRCUIT's servers for processing, and shall be linked to the corresponding User account to ensure the uniqueness of the registration within the hardware device application.

If the User does not wish to redeem Rewards through the App, the User shall be able to continue to use all other features of the App without providing the aforementioned content.

Failure by the User to follow the claims process will result in the User's inability to access the Reward after one (1) year from the day the Reward was created in the App.

Rewards expire automatically six (6) months after they have been earned by the User, unless they have been previously redeemed, in which case they shall be subtracted from the User's account.

7. Help Desk

TINY CIRCUIT offers its Users a Help Desk service provided through the e-mail address: [email protected].

Please be aware that, from time to time, TINY CIRCUIT may need to deploy or provide patches, updates, additional content or other modifications (each a "Change") to the App. Such Changes may be required for important operational reasons, including, without limitation, adapting the App to a new technical environment or an increased number of users, enhancing online gameplay, adding, updating or removing features, or resolving software bugs.

If there are any material Changes to the App (and as otherwise required by applicable law from time to time), they will be notified to the User by appropriate means. Due attention will be given to all queries, complaints and suggestions made in relation to the Services through the App.

8. Intellectual Property Rights

Based on these Terms and Conditions TINY CIRCUIT grants the User a limited, worldwide, non-transferable, revocable, non-sublicensable and non-exclusive license to solely access and use the App on the User's personal hardware device. Any right not expressly granted will be reserved for TINY CIRCUIT.

The User or any third party shall be restricted from carrying out the following actions: (i) reproduce, modify, prepare derivative works, distribute, license or exploit in any way the App or the games, when not expressly permitted by TINY CIRCUIT; (ii) decompile or reverse engineer the App; (iii) link, reflect or frame any part of the Services; (iv) deploy or launch any type of program to perform any action related to the prospecting of data or actions aimed at damaging the operability and functionality of the App; or (v) withdraw, modify or any analogous action aimed at altering the copyright of TINY CIRCUIT on its trademark, its App or its Services.

In any case, intellectual and industrial property rights on the Services offered and the App remains property of TINY CIRCUIT, associates and partners.

Neither the use of the App nor the acceptance of the Services implies the transfer or granting of any right: (i) in relation to the Services, except for the aforementioned license; or (ii) to use or mention in any way the company names, logos, product and service names, commercial brands or other elements of a similar nature, except in those cases in which TINY CIRCUIT expressly grants such rights.

Moreover, the Services contain copyrighted material, trademarks, and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire contents of the Services are copyrighted as a collective work under copyright laws. TINY CIRCUIT owns a copyright in the selection, coordination, arrangement, and enhancement of such content, as well as in the content original to it. Users may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication, or commercial exploitation of downloaded material will be permitted without the express permission of TINY CIRCUIT and the copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made.

9. Coins Claims Methods

COINS achieved may be used to obtain cash, gift cards, or alternatively the User may request that TINY CIRCUIT use the equivalent value that would otherwise be available to the User to make a charitable contribution.

Rewards are earned per User and per Tiny Circuit ID only. If a User changes their Tiny Circuit ID and/or uses more than two accounts, the User may be blocked or deleted and any earned Rewards shall be forfeited.

The User may redeem the Rewards through the appropriate channel within the App. The User may select among the redemption methods made available by TINY CIRCUIT at the time of redemption, subject to the User having accumulated a sufficient amount of COINS, unless stocks of the selected redemption method are exhausted. Redeemable features may also be limited or withheld in cases where the User has not sufficiently interacted with the downloadable games available in the App and/or where the User's activity within TINY CIRCUIT's catalogue of games is unusually low. The User shall not be entitled to any specific redemption method.

For certain Redemptions, the User may be required to provide additional details in connection with the payment of the Rewards, including, without limitation, an e-mail address and User name for an online account, home address, PayPal or Amazon account details, and biometric data, if necessary.

Upon a request for redemption of Rewards, the request will generally be processed within twenty (20) business days following receipt of the request through the App, provided that the User has used the App in accordance with these Terms and Conditions. Extraordinary circumstances may cause processing to take longer than the stated period. TINY CIRCUIT reserves the right to modify this timeframe in accordance with these Terms and Conditions.

TINY CIRCUIT may require additional information from the User to verify that Rewards are not being earned or redeemed fraudulently. For this purpose, TINY CIRCUIT reserves the right to place any redemption of Rewards on hold, unless otherwise required by applicable law from time to time, until the requested information has been provided by the User. The User will be given a reasonable period of time to submit the requested information. If the User fails to provide the required information, the User's account may be blocked until all requested information has been submitted. If any fraud or other breach of these Terms and Conditions is detected, TINY CIRCUIT reserves the right to terminate the User's account and take appropriate legal action where deemed necessary.

The applicable rate of conversion for the Rewards shall be the rate displayed to the User within the App. Such rate may be modified at any time by TINY CIRCUIT in accordance with these Terms and Conditions. Promotions and other agreements may be applied individually or collectively, and the publication of any special circumstances shall not be mandatory nor offered to every User.

TINY CIRCUIT may, from time to time, offer the possibility to redeem Rewards in exchange for gift cards, vouchers or tokens. In the event of conversion of Rewards into gift cards representing an official currency for the selected redemption method, the redeemable currency of the Rewards marketed in the App shall be indicated next to the description of each redemption option and shall prioritize the official currency of the User's country.

For this purpose, the User shall grant permission for TINY CIRCUIT to determine the User's location in order to offer appropriate redemption methods. In all cases, the User must select a redemption method from those offered within the App. Once a Redemption has been granted, the corresponding Rewards shall be deducted and the User shall not be able to redeem the Rewards used.

TINY CIRCUIT may also offer the possibility to redeem Rewards into currency towards a charitable effort. By selecting this option, the User agrees that all applicable terms presented in the App for such donation shall apply in addition to these Terms and Conditions, and that the User's Rewards shall be reduced in accordance with the applicable donation terms. Each and every donation shall be made by TINY CIRCUIT, into its own account and under its own name. In no case shall the donation be deemed to have been made by the User.

Users who redeem Units for charitable efforts through the App shall not be eligible for a tax receipt. TINY CIRCUIT shall not be able to refund Rewards once the User has accepted to redeem them for a charitable purpose.

Rewards shall be redeemed and paid without any deduction or withholding for or on account of tax (a "Tax Deduction"), unless such Tax Deduction is required by applicable law. Where TINY CIRCUIT is required by applicable law to make a Tax Deduction, TINY CIRCUIT shall have the right to withhold and deduct the required amount from any Reward paid to the User. The corresponding Tax Deduction shall be paid to the relevant tax authority, and the User shall be informed accordingly so that the User may comply with their tax obligations.

10. Electronic Contracting

The acceptance of these Terms and Conditions by the User shall be equivalent to the execution of a contract by electronic means, which shall produce all effects provided for under the applicable legal system, provided that consent and the other requirements necessary for its validity have been met.

TINY CIRCUIT shall record and retain the User's electronic acceptance of these Terms and Conditions, and such records shall be admissible as evidence in the event of a dispute between the parties.

For these purposes, the User understands and agrees that TINY CIRCUIT may monitor all phases of the provision of the Services and, where applicable, the Redemption of the corresponding Rewards.

Information regarding the Services and the applicable redemption conditions is made available to Users prior to the commencement of the contracting procedure and shall only apply if the User elects to proceed with contracting through the App.

11. Confidentiality and Data Protection

All personal data provided during the use of the App shall be processed in accordance with the Privacy Policy, which the User must read and, where applicable, acknowledge having read or accepted.

12. Copyright Complaints

TINY CIRCUIT respects the intellectual property rights of others. If the User believes that their material has been copied in a manner that constitutes copyright infringement, the User must provide TINY CIRCUIT's copyright agent with the following written information:

• an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
• a description of the copyrighted work that the User claims has been infringed;
• a description of where the material that the User claims is infringing is located on the Site;
• the User's address, telephone number and e-mail address;
• a statement by the User that the User has a good-faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; and
• a statement by the User, made under penalty of perjury, that the information provided in the notice is accurate and that the User is the copyright owner or is authorized to act on behalf of the copyright owner.

TINY CIRCUIT may request additional information before removing any allegedly infringing material. In the event of a dispute regarding ownership of the rights in question, TINY CIRCUIT reserves the right to remove or disable access to the allegedly infringing material pending resolution of the matter. TINY CIRCUIT will terminate the accounts of Users determined to be repeat infringers.

Please note that, pursuant to Section 512(f) of the United States Copyright Act, any person who knowingly makes false claims that material or activity is infringing may be subject to liability for damages.

13. Term and Modifications

TINY CIRCUIT may terminate the User's account if it detects unauthorized use or activity of the Services, including, without limitation, any substantial breach of these Terms and Conditions or for any other objective reason. In such cases, TINY CIRCUIT shall not assume any obligation or liability to the User and shall not return any amounts previously earned through Rewards. Any Rewards earned but not redeemed at the time of termination shall be forfeited.

TINY CIRCUIT shall carry out a review procedure in accordance with its policies on proper use of the App to assess whether the User has engaged in conduct contrary to such policies or these Terms and Conditions and/or has improperly obtained Rewards.

The User may terminate these Terms and Conditions at any time by discontinuing use of the App. Any obligations which by their nature are intended to survive termination shall remain binding on the parties.

TINY CIRCUIT recommends that Users periodically review these Terms and Conditions, as they may be subject to modification. Where modifications are substantial, prior notice shall be provided for acceptance or rejection. Upon acceptance, the modified Terms and Conditions shall replace the previously applicable terms and shall apply to new transactions or reservations made from the date of acceptance, to the extent permitted by applicable law.

14. Termination

In the event of suspected improper use of the Services or substantial breach of the Terms and Conditions by the User, TINY CIRCUIT reserves the right to take appropriate precautions, such as a temporary block of the account, and to terminate the User's account at a reasonable suspicion. If these suspicions are deemed solved, the blocking will be cleared. Otherwise, TINY CIRCUIT has the right to terminate the account. Any breach of the Terms and Conditions may also result in the User forfeiting all earned Rewards, as well as all other applicable legal claims.

The User acknowledges and agrees that any or all Services of TINY CIRCUIT may be terminated in whole or in part at TINY CIRCUIT's sole discretion, without prior notice to the User. TINY CIRCUIT does not undertake any risks of loss associated with the termination of the Services.

15. Safeguard Clause

All the clauses or extremes of the present Terms and Conditions must be independently and autonomously interpreted, and the rest of the stipulations will not be affected in the event that one of them has been declared null and void by means of a judicial decision or a final arbitration resolution. The clause or clauses affected will be replaced by another one or others that preserve the effects pursued by the Terms and Conditions of the App.

With the exception of liability according to local applicable law, in no event shall TINY CIRCUIT, or its respective associates or partners be liable for any special, indirect or consequential damages or any damages whatsoever resulting from loss of use, data or Rewards, or any damages or loss arising from the services provided by third party providers, whether in an action of contract, negligence or other civil liability action, arising out of or in connection with the use of any software, program or platform provided as part of the Service, except in the case of intentional or gross fault.

16. Applicable Law and Competent Jurisdiction

If you are located in the United States, you agree that these Terms affect interstate commerce and that the Federal Arbitration Act (including its procedural provisions) governs the interpretation and enforcement of Section 14 (Agreement to Arbitrate and Class Action Waiver). Also, these Terms and our relationship will be governed by California law, except for its conflicts of laws principles.

If you are located anywhere other than the United States, these Terms and our relationship will be governed by SIAC Rules, except for its conflicts of laws principles.
